1. Overview

GradeSkill™ is a Freelancer-of-Record (FoR) governance service operated by QualIT Investments LLC (United States) with operational support from QualIT Services SAS (Colombia) and authorized affiliates.

GradeSkill enables organizations to engage independent contractors through a structured legal, operational, and governance framework designed to support compliance, intellectual property ownership, and delivery continuity.

Use of GradeSkill services is governed by the applicable Master Services Agreement (MSA) and Statements of Work (SOW) executed between the Client and the contracting GradeSkill entity.

2. Contracting Structure

Clients contract with QualIT Investments LLC (USA) or another authorized GradeSkill contracting entity, which may engage contractors directly or through affiliated operational entities, including QualIT Services SAS (Colombia) or other authorized partners, depending on jurisdictional requirements.

Clients do not contract freelancers directly unless expressly agreed in writing.

3. Intellectual Property

All work product created by contractors under GradeSkill governance is:

• Assigned to the contracting GradeSkill entity under contractor agreements; and
• Assigned or licensed to the Client under the applicable Client MSA/SOW.

This structure ensures a controlled intellectual property chain:
Contractor → GradeSkill entity → Client

4. Governance Fees and Billing

GradeSkill services are billed according to the pricing structure defined in the applicable MSA or SOW.

• Governance services are typically billed as recurring monthly fees per governed contractor.
• Contractor compensation is billed separately as a pass-through cost unless otherwise specified.
• One-time services, including sourcing, onboarding, or validation services, may be billed independently.

Governance fees are generally not prorated unless expressly stated in the applicable SOW.

5. Replacement and Continuity

Replacement commitments, delivery oversight, and continuity obligations vary according to the service tier and the applicable Statement of Work. Certain service tiers provide best-effort replacement only, while others may include defined replacement service levels.

6. Compliance and Security

GradeSkill operates under a SOC-2-aligned control framework and maintains documented operational procedures supporting:

• Contractor onboarding and offboarding
• Access governance and revocation controls
• Governance and compliance documentation suitable for procurement or audit reviews

Clients remain responsible for the configuration and security of their internal systems and environments unless otherwise agreed in writing.

7. Nature of Services

GradeSkill provides governance, contracting, compliance, and operational coordination services for independent contractors. Unless expressly specified in a written agreement, GradeSkill does not act as a staffing agency, payroll provider, or employer of record.

8. Governing Agreements

In the event of any inconsistency between this website policy and executed contractual agreements, the executed MSA and SOW shall prevail.
